Our client is seeking a highly experienced Senior Corporate Counsel with a specialization in Mergers & Acquisitions (M&A) to join their fully remote legal team. This position requires a seasoned legal professional adept at managing complex transactions, providing strategic advice, and ensuring legal compliance across all M&A activities. The successful candidate will be responsible for overseeing all legal aspects of potential acquisitions, divestitures, joint ventures, and other corporate reorganizations. This includes conducting legal due diligence, drafting and negotiating transaction agreements (e.g., stock purchase agreements, asset purchase agreements, merger agreements), and advising on regulatory compliance. You will work closely with internal business teams, finance departments, and external counsel to facilitate smooth deal execution. The role demands a deep understanding of corporate law, securities law, and contract law, with a proven track record of successfully navigating complex M&A transactions. Key responsibilities include identifying and assessing legal risks, developing mitigation strategies, and ensuring that all transactions align with the company's strategic objectives and risk tolerance. Strong analytical, problem-solving, and negotiation skills are essential. The ability to manage multiple high-stakes projects simultaneously in a remote setting, coupled with excellent communication and client-facing skills, is critical. - Manage and execute all legal aspects of mergers, acquisitions, divestitures, and other strategic transactions.
- Conduct comprehensive legal due diligence for potential M&A targets.
- Draft, review, and negotiate complex transaction agreements and related documents.
- Advise on corporate governance, securities law, and regulatory compliance matters related to M&A.
- Collaborate with internal stakeholders and external counsel to ensure successful deal closure.
- Identify and assess legal risks associated with transactions and develop mitigation strategies.
- Manage post-closing integration and legal follow-up for completed deals.
- Stay current on relevant legal developments and their impact on M&A activities.
- Provide strategic legal advice to senior management on corporate development initiatives.
- Ensure compliance with all applicable laws and regulations in relevant jurisdictions.
Qualifications:
- Juris Doctor (JD) or equivalent law degree from a reputable institution.
- Admission to practice law in at least one relevant jurisdiction.
- Minimum of 7 years of experience in corporate law, with a significant focus on M&A transactions.
- Proven experience managing complex, cross-border M&A deals.
- In-depth knowledge of corporate law, contract law, securities law, and regulatory requirements.
- Exceptional legal drafting, negotiation, and analytical skills.
- Strong business acumen and ability to provide practical, risk-based legal advice.
- Excellent communication, presentation, and interpersonal skills for remote collaboration.
- Ability to work independently, manage priorities, and meet tight deadlines in a remote environment.
- Experience working in-house at a public company or at a top-tier law firm is highly preferred.
